TOWN OF ST. JOHN, WASHINGTON

WATER REVENUE BOND ANTICIPATION NOTE, 2011

(CASHMERE VALLEY BANK LINE OF CREDIT)

Summary of Ordinance No. 332X, passed March 14, 2011

AN ORDINANCE of the Town of St. John, Washington, authorizing improvements to facilities of the Town's water system; declaring the estimated cost of the project; authorizing the issuance of a water revenue bond anticipation note of the Town in the principal amount of $1,250,000 to establish a line of credit to provide interim financing for the project; fixing the date, form, terms, maturity, covenants and interest rate for the note; and confirming the sale of the note to Cashmere Valley Bank.

Section 1. Definitions. Defines certain capitalized terms used in the Ordinance.

Section 2. The Project. Adopts a plan of improvements, additions and betterments to and extensions to the water System.

Section 3. Costs of the Project. Declares the estimated cost of the Town's share of the Project as $2,270,000, from the following sources: loan from Rural Development, a grant from Rural Development, revenue of the water System and other legally available sources.

Section 4. Authorization of the Bond. Authorizes the issuance of a water revenue Bond of the Town, in the amount of $1,250,000 to be issued to Rural Development under the terms set forth in the Letter of Conditions (the "Bond").

Section 5. Authorization of Note. Authorizes the issuance of a water revenue bond anticipation note in the principal amount of $1,250,000.

Section 6. Prepayment. Authorizes prepayment, in whole or in part, without penalty, upon 15 days notice, at any time prior to the maturity of the Note.

Section 7. Note Fund. Confirms the creation of the Note Fund, for the purpose of paying and securing the payment of the Note.

Section 8. Project Fund; Disposition of Drawings Under the Note. Confirms the creation of a special fund of the Town to be called the "2011 Water Line Project Fund" and directs deposit of the proceeds of the Note into the Project Fund to provide for the payment of the cost of the Project.

Section 9. Tax Covenants: Special Designation. Confirms the Town's covenants that it will not take any actions that will cause the Note to be an "arbitrage bond" under Section 148 of the Internal Revenue Code; designates the Note as a "qualified tax exempt obligation" within the meaning of Section 265(b)(3) of the Code, and confirms the Town does not expect to issue more than $10,000,000 in qualified tax exempt obligations during 2011.

Section 10. Lost, Stolen or Destroyed Note. Provides for issuance of a replacement Note under certain conditions if the Note is lost, stolen or destroyed.

Section 11. Form of Note and Certificate of Authentication. Provides for the form of the Note and the authentication of the Note.

Section 12. Execution. Provides for execution of the Note by the Mayor, wand attestation by the Clerk-Treasurer.

Section 13. Sale of Note. Provides for sale of the Note to Cashmere Valley Bank in accordance with it's offer for purchase dated February 28, 2011.

Section 14. Ongoing Disclosure. Confirms the Town's promise to provide the Bank copies of the Town's annual audited financial statements within 330 days of the end of each fiscal year.

Section 15. Representations and Warranties. Confirms the Town has full legal right, power and authority (1) to pass this ordinance, (2) to sell, issue and deliver the Note as provided herein, and (3) to carry out and consummate all other transactions contemplated by this ordinance. The Town has authorized and approved the execution and delivery of the Note. The ordinance and Note constitute the legal, valid and binding obligation of the Town.

Section 16. Severability. Provides that other covenants and agreements in the Ordinance are not affected if one is made invalid.

Section 17. Effective Date. Provides that the Ordinance shall take effect five days after its passage and publication as required by law.
